Acroud publishes interim report Oct-Dec 2022: A time of Growth

Financial highlights during fourth quarter 2022 Revenue amounted to EUR 10 019 (6 540) thousand, corresponding to a growth of 53% and an organic growth of -3.3%. EBITDA amounted to EUR 2 342 (817) thousand, increasing by 187% year-on-year. Adjusted EBITDA (before items affecting comparability) was EUR2 492 (1 062) thousand increasing by 135% year-on year. Profit after tax was EUR -20 265 (-356) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR 564 (-264) thousand. Items affecting comparability include an impairment charge of EUR 18 million and an earn-out revaluation amounting to EUR 2 932 thousand. Earnings per share after dilution amounted to EUR -0.15 (-0.003). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR 0.004 (-0.002). Financial highlights for full year 2022 Revenue amounted to EUR 30 905 (24 767) thousand, corresponding to a growth of 25% and an organic growth of 6.9%. Profit after tax was EUR -18 421 (719) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR 1 516 (1 064) thousand. Items affecting comparability include an impairment charge of EUR 18 million and an earn-out revaluation amounting to EUR 2 932 thousand. Earnings per share after dilution amounted to EUR -0.141 (0.006). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR 0.012 (0.008). New Depositing Customers (NDC) amounted to 186 550 (133 195) increasing by 40% (267%). Cash flow from operating activities amounted to EUR 5 596 (EUR 4 373 excluding one-off tax payment relating to acquisitions) thousand. Financial highlights after the quarter Revenue in January 2023 amounted to EUR 3.2 million, representing a year-on-year increase of 35%. Important events during the quarter On 13 October 2022, Acroud (the “Company”) has successfully acquired 60% shareholding in an affiliation and Media company namely, Acroud Media Ltd, for a total consideration of approximately GBP 5.1 million. The acquisition encompasses affiliation assets and technology within the iGaming Market and it is expected to contribute over EUR 9 million to the Company’s revenues and over 4 million to the Company’s EBITDA annually. This acquisition will be reported in the iGaming affiliation segment. For further detailed information, see note 10 in this report. Important events after the quarter On 8th February 2023, Tricia Vella was appointed as Interim CFO for Acroud. Tricia has been working at Acroud since 2019 and has previously held the position of Head of Finance. She also has an audit background, having worked at PwC for seven years. The recruitment process for a permanent CFO is in progress. CEO comments: A time of Growth Quarter 4 2022 marked the beginning of a new foundation for our Company, geared up for solid EBITDA growth and lower debt. During the quarter our group has delivered: EUR 10.0 million in revenue, representing year-on-year growth of 53%, EUR 2.5 million in EBITDA (excluding one-off items), representing year-on-year growth of 135%, and 84,086 New Depositing Customers (NDCs) to our partners, representing year-on-year growth of 160%. Update on New Acquisition: Acroud Media This quarter has been the first quarter with our new Media Business, and I am happy to say it is firing on all cylinders. The growth in NDCs noted above has been mainly driven by the new Media business, which has found the right way to capitalise on the players’ interest in football, during the World Cup and domestic leagues alike. The new business comprises mainly of sport revenue driven by revshare deals, giving us a very stable and secure long-term revenue stream. The only disadvantage with revenue share is that you can be affected by unfavourable sports results in the short-term. This happened to us towards the end of December when all favourite teams in the English Premier League won. I would lie if I said it did not annoy me. However past results show that such hits occur only a few times during a calendar year and that revenue always comes back over time. With that said I am very happy and proud that we are now one of the affiliates in the market with the most sport book revenue in its revenue mix. Optimizing our existing businesses The Company’s new foundation is built on a new management team, comprising of experienced leaders well known in the iGaming, Affiliation and SaaS industries. The new management team will further strengthen the cooperation between our different subsidiaries and create a smaller and optimized organization, particularly in our SEO business. This change has led to a one-off restructuring cost of EUR 98 thousand during Q4-22 but will lead to annual cost savings of EUR 660 thousand. This is to continue to adapt our SEO business to the changing landscape in our industry while gearing for growth. Our Strong Drive for Better Changes Looking back over the past years, I am happy that we had the courage to act. Had we not driven change so aggressively during the past 3 years; acquiring complementary businesses and diversifying the Group’s income streams and business risks, we would be in a far less favorable position today. Many of our industry peers in the “let’s make casino toplist on SEO sites, and create thousands of them” are really struggling. This is the part of our business that has struggled over the last 5 years, caused by regulatory changes in Europe, but also affected by how Google views these types of assets. So as part of our prudent book-keeping we are writing down the value of those assets stemming from Net Gaming’s (former name of Acroud) acquisition of Highlight Media business back in 2016. This is reflected as a one-off non-cash impairment charge of EUR 18 million during the quarter. New management has the right experience, expertise, and action plan to bring the Highlight Media business back to strong organic growth. Successful acquisitions All businesses acquired since November 2020 are performing better than expected. Such transformative acquisitions have not only delivered strong revenue growth but have added to our Group valuable industry expertise and relationships which drove positive changes in the Company’s profitability, operative cashflow and business risks. This success also led to a one-off adjustment to our liabilities (amounting to EUR 2.9 million) during Q4-22 to reflect the estimated earnouts relating to Power Media Group acquisition (completed in January 2021) and The Gambling Cabin (executed in April 2021). Negotiations about the exact earnout amounts and payment dates have already started and will be concluded in the coming months. It is very positive that these companies are doing so well, and based on targets we have set internally, they will continue delivering strong growth during 2023 and in the foreseeable future. The founders and owners of these companies have committed to an active role in the Company’s future. They have a two-year lock-up period on the shares they will receive as a part of the earnout payments too, which ensures stability and continuity for the Group and its owners even after earnouts are concluded.   Future Outlook The Media business acquisition, the formation of a new management team and the restructuring in the SEO business in Q4, backed by refinancing secured earlier this year form the foundation of the new Acroud. During 2022 we have delivered EUR 7.9 million in EBITDA (or EUR 7.6 million if one-off items are excluded) – marginally below the EUR 8 million target we had set at the beginning of the year. Net debt / EBITDA ratio has been lowered to 2.5x as of December 2022, which meets the target we have set to reach by December 2025. This is just the beginning of a new era. I am excited and geared-up to continue taking this Company to the next levels. We have set out our business goals and plans for 2023 which will guide and push us to continue working towards the two main financial targets set: (i) 20% organic growth in EBITDA and (ii) optimize further our capital structure by lowering our net debt / EBITDA ratio and lowering our gross debt. Acroud publishes interim report Jul-Sep 2022: Another piece in Acroud's transformation

Financial highlights during third quarter 2022 Revenue amounted to EUR 6 683 (6 448) thousand, corresponding to a growth of 4% and an organic growth of 2.1%. EBITDA amounted to EUR 1 496 (1 258) thousand, increasing by 19% year-on-year. Profit after tax was EUR -589 (593) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR -188 (482) thousand. Earnings per share after dilution amounted to EUR -0.005 (0.005). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR -0.001 (0.004). New Depositing Customers (NDC) amounted to 33 792 (39 632) decreasing by -15% (646%). Financial highlights after the quarter EBITDA in October 2022 amounted to EUR 1.1 million. Important events during the quarter In July 2022 Acroud issued senior secured bonds 2022/2025 in the total amount of SEK 225,000,000 (ISIN SE0017562481). In August 2022, in accordance with the terms and conditions, Acroud bonds were admitted for trading on the corporate bond list at Nasdaq Stockholm, and the first day of trading at Nasdaq Stockholm was on 23 August 2022. On 18 July 2022, Acroud has redeemed early its existing bonds of SEK 300 million. As at the date of redemption, Acroud owned SEK 112 million from its own bond. The redemption amount was paid to each person who was registered as an owner of Existing Bonds in the debt register maintained by Euroclear Sweden at the end of business day on 11 July 2022. Important events after the quarter Acroud completed the acquisition of 60% shareholding in Acroud Media Ltd for a total consideration of approximately GBP 5.1 million. The newly-acquired company owns assets and technology operating within the affiliation and media space and it is expected to contribute over EUR 9 million to the Company’s revenues and over EUR 4 million to the Company’s EBITDA annually. The purchase consideration is payable GBP 1 million in shares (issued on 18 October 2022) and GBP 4.1 million in cash (GBP 2.0 million already settled, with the rest payable over the next 18 months). Acroud has also secured a combination of call and put options for the remaining 40% of the business expiring in 2028. Both options are based on financial performance for 12 months ending 30 September 2028 with an EBITDA multiple of 5.5x. The acquisition of the remaining 40% will be settled in cash from existing reserves (40%) and via own shares (60%). CEO comments: Another piece in Acroud's transformation Quarter 3 2022 marks the start of a “new version” of our Company. With the completed acquisition our Company’s KPIs will look completely different. Summer has been upon us, during which we have experienced seasonal volatility with August revenues on the low side, only to bounce back up in September making the latter one of our best months in 2022. Despite historically being the weakest quarter, Q3 delivered EUR 6 683 thousand in revenues and EUR 1 496 thousand in EBITDA. These results represent a year-on-year growth of 4% in revenues and 19% in EBITDA. Although costs are not down quarter- on-quarter, this is because we have seen the opportunity and necessity to continue to invest in certain areas. This however means we are now using our funds in a more effective way than before. During the quarter we have had one-off items which has affected the Company’s profitability. In July the Company paid a one-off redemption fee of 3% to old bond holders, impacting the Company’s profit before tax by EUR 534 thousand. Similar cost under the bond is now being accrued for throughout the term of the bond, which impacted Q3-22 results by EUR 175 thousand. The Company also adjusted its tax accrual by EUR 261 thousand to reflect the redomiciliation of one of its subsidiaries. This items in aggregate explains the loss of EUR 589 thousand incurred during the quarter. Introducing Acroud Media Ltd During the third quarter we also worked diligently to close the acquisition of Acroud Media Ltd. Earlier this year, Acroud Media Ltd acquired assets which have been established by previous owners in the iGaming affiliation and paid media sphere since 2016. One of the acquired business’ strengths is its agility to move from one opportunity to another, depending on market, regulatory and other macro developments. Also, the acquired business is almost exclusive based on sportsbook revenues, with some of the world’s largest operators such as Bet 365 and Betway. Approximately 80% of total revenues comes from revenue-share deals, implying that there is an incredible potential in the recuring revenue and, as the player base keeps growing, this stable revenue stream keeps growing. Another strength of the acquired business is that revenue is not dependent on SEO and search algorithms’ results. Search engines like Google are updated from time to time, impacting sites’ performance driven by SEO: sometimes the effect is negligible, sometimes positive, sometimes negative. This is one of the biggest operational risks in SEO affiliation business. This acquisition complimented by the last year’s transformation, Acroud has transformed itself from 100% driven by SEO to a diversified business model including community-based and social media affiliation (The Gambling Cabin), paid media affiliation (Acroud Media) and SaaS Products. Entering a new era in Acroud’s transformation With this new entity in place, Acroud has executed another step in its transformation. Besides continuing to diversify its business risks and investing on future growth, Acroud has managed to close an accretive acquisition which will boost its profitability and cash position. Best proof is Acroud’s October 2022’s results, where total EBITDA has increased to EUR 1.1million. This has put us in the right track to generate between EUR 8-9 million in Group EBITDA for 2022, in line with our financial target and guidance. Amount of NDCs referred to our partners is expected to almost double going forward, which in turn is expected to spark further long-term and sustainable growth. Developments in Affiliation and SaaS businesses Acroud Media will form part of the Affiliation business. During Q3-22 the affiliation business generated EUR3.0million in revenues, representing a year-on-year increase of 12%. Such growth was the result of the investments in growth initiatives particularly in regulated and strategic markets, which has intensified during this quarter. This also explains the year-on-year decline of 8% in the affiliation EBITDA, reaching EUR1.1million during the quarter. A key event in Q4 will definitely be the World Cup championships, and we are getting ready for this worldwide event – in both Acroud Media and The Gambling Cabin teams. The Gambling Cabin team has some special treats in stores for its fans. Broadcasting from “The Gambling Villa” where the whole team will be gathered to provide comprehensive coverage of the event with sponsors and partners lined up. The SaaS business continues to deliver year-on-year growth in EBITDA figures, reaching EUR 539 (271) thousand in Q3-22. This growth is driven by both Network model (represented mainly by Matching Visions and DreamStream brands) and Subscription model (represented by Voonix). Our Voonix software is turning out to be true hidden gem and our aim going forward is naturally to both expose and realize the true value of this software. Refining our strategy When reflecting on the past few years, I could not be more satisfied with our successful acquisition strategy as well as the subsequent integration into Acroud Group. All acquired entities are performing in line with, or better than our initial expectations. We knew then, and it’s evident today, that our integration strategy was right. We rejected the classic method of “buy assets and roll up” and instead built a house of brands. We supported and enhanced each business rather than forcing alignment with pre-existing ideas and methods. This strategy has allowed our companies to maintain autonomy and growth while diversifying business risks, achieving synergies and sharing knowledge within the Group. Acroud publishes interim report Apr-Jun 2022: Continued strong organic growth with refinancing secured

Second Quarter 2022 Revenue amounted to EUR 7 200 (6 200) thousand, corresponding to a growth of 16% and an organic growth of 15%. EBITDA amounted to EUR 1 802 (1 159) thousand, increasing by 55% year-on-year. Adjusted EBITDA (before items affecting comparability) was EUR 1 802 (1 500) thousand, increasing by 20% year-on-year. Profit after tax was EUR 1 248 (-267) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR 588 (292) thousand. Earnings per share after dilution amounted to EUR 0.010 (-0.002). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR 0.005 (0.002). New Depositing Customers (NDC) amounted to 35 134 (29 448) increasing by 19% (192%). Cash flow from operating activities amounted to EUR 1 490 (1 965) thousand. First six months 2022 Revenue amounted to EUR 14 203 (11 780) thousand, corresponding to a growth of 21% and an organic growth of 15%. New Depositing Customers (NDC) amounted to 68 672 (61 235) increasing by 12% (211%). Cash flow from operating activities amounted to EUR 2 975 (2 353 excluding one-off tax payment relating to acquisitions) thousand. Important events during the quarter During the second quarter of 2022, Acroud has successfully placed SEK 225 million of senior secured floating rate bonds to investors in the Nordic and continental Europe. With this financing in place, Acroud will keep delivering its strategic agenda and is very positive about its future. Important events after the quarter On 18 July 2022, Acroud has redeemed early its existing bonds of SEK 300 million. The redemption amount was paid to each person who was registered as an owner of Existing Bonds in the debt register maintained by Euroclear Sweden at the end of business day on 11 July 2022. Acroud is considering a potential accretive acquisition within the affiliation and media space, expected to contribute over EUR 9 million to the Company’s revenues and over EUR 4 million to the Company’s EBITDA annually. Acroud’s management is of the view that the potential acquisition will be accretive for both equity and debt investors in the Company as it will strengthen both profitability and cash flow while reducing the Company’s leverage going forward, which is in line with the revised financial targets as presented in a press release on 4 May 2022. If the potential acquisition materialises, the transaction will see the Company investing approximately EUR 1million in shares and approximately EUR 4.5million in cash, payable over a period of 18 months. The potential acquisition is subject to a final board approval and the parties entering into a definitive purchase agreement. CEO comments: Roadmap for Accelerated Business Growth Over the past quarters, Acroud has transformed from a conventional player with comparison sites into a robust iGaming ecosystem offering both Affiliation services and B2B SaaS solutions within the Media and Marketing space. This strategic remodelling has established our new solid structure to create a lower volatility business profile with more stable revenues and higher profitability. Subsequently, it is now when Acroud can accelerate into its high growth chapter, and I am pleased we have secured financing to continue to execute our strategy. Despite the seasonal variations characterizing second quarters, it is positive to report that we have increased revenue organically quarter-on-quarter by 3%. Comparing the financial development year-on-year, we increased sales from EUR 6,200k to EUR 7,200k and adjusted EBITDA from EUR 1,500k to EUR 1,802k, which translates to a sales organic growth of 15% and EBITDA growth of 20%. The New Depositing Customers numbers have shown an optimistic quarter-on-quarter growth of 5%, reaching almost 35,200. The increase was led by the iGaming Affiliation segment’s 10% quarter- on-quarter NDCs intake rise, indicating that the implemented organic growth initiatives have continued to yield results. In the second quarter, we actively decided to invest in new growth initiatives for the future at the expense of short-term profitability. To return to consistently positive performance, we continue examining our operations, eliminating inefficiencies, and emphasizing all of our work with a data-driven and insight-rich approach. Refinancing secured The most significant event during the second quarter of 2022 that I am very happy with was refinancing of the Company’s bond loan. In a period with very uncertain market conditions, we have successfully placed SEK 225 million of senior secured floating rate bonds to investors in the Nordics and continental Europe. Proceeds from the transaction have been predominantly used to redeem the Company’s outstanding SEK 300 million bonds early. Moreover, securing the refinancing gives us momentum to continue to develop Acroud with a focus on profitable organic growth and keep delivering on our strategic agenda. The results reaffirm our strong start into the financial year, proving that Acroud is on the right track to deliver significant growth in both profit and revenue in 2022 and beyond. Key Markets update In the Netherlands, the newly regulated market is developing slower than expected, and fewer than anticipated operators were granted an online gaming license. These unfavourable market dynamics have failed us, and we have not yet managed to re-grow our Dutch products at the desired pace. However, we have compensated for the hold back in the Netherlands with the growth coming from other European markets. These continue to be our biggest success story, contributing to 71% of the iGaming Affiliation revenues. Over the past quarters, we’ve been seeing growth in regulated markets particularly in the United Kingdom which has now become Acroud’s biggest and fastest-growing market, growing by 62% quarter-on-quarter. Entering Period of Accelerated Growth Our revenue continues to increase sequentially, for the seventh quarter in a row. The strategic decisions and restructuring executed during 2021 have also ensured that Acroud returns to positive organic growth – 16% in Q1-22 and 15% in Q2-22. Looking at the operational initiatives being taken and the positive trends in the underlying KPIs I am confident that such organic growth rates are sustainable in the future, which puts us in the right track towards one of the new financial targets: to grow EBITDA organically by 20%, on average, annually during the financial years 2023 – 2025. To complement this strong organic growth, we are currently considering an accretive opportunity to acquire 60% shareholding in an Affiliation and Media company, comprising of affiliation assets and technology within the iGaming market. The Transaction is expected to contribute over EUR 9 million to the total Group revenue and over EUR 4 million to the Company’s EBITDA annually. Additionally, the transaction will further solidify our efforts to develop a low-risk, high-growth business based on intelligent solutions, as the acquired assets leverage IMBC (Intelligent Media Buying Capabilities) rather than relying on SEO algorithms. I am happy to share that the M&A process is progressing well. The transaction is subject to final board approval and the parties entering into a definitive purchase agreement. I believe this acquisition will be accretive for both equity and debt investors in the Company as it will strengthen both profitability and cash flow while reducing the Company’s leverage as we advance; thus contributing to achieving the new financial targets too, particularly to decrease the net interest-bearing debt/adjusted EBITDA to a maximum of 2.5x by December 2025. Summing up all plans together, I can confidently say that Acroud is entering a period of accelerated growth. The New Chapter Begins To sum up, we have put a truly progressive quarter behind us and are now starting to write a new chapter in the Company’s history. Turning the page on the ’old’ Acroud and symbolising a fresh beginning, we have also decided to relocate our headquarters in Malta into a brand-new space. Acroud publishes interim report Jan-Mar 2022: Strong organic growth with the right forward momentum

First Quarter 2022 Revenue amounted to EUR 7 003 (5 579) thousand, corresponding to a growth of 26% (75%) and an organic growth of 15.5% (-9.7%). EBITDA amounted to EUR 2 248 (1 441) thousand. Adjusted EBITDA (before items affecting comparability) was EUR 1 781 (1 575) thousand. Profit after tax was EUR 1 184 (748) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR 551 (553) thousand. Earnings per share after dilution amounted to EUR 0.009 (0.006). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR 0.004 (0.005). New Depositing Customers (NDC) amounted to 33 538 (31 787) increasing by 6% (230%). Cash flow from operating activities amounted to EUR 1 484 (11) thousand. Important events during the quarter During the first quarter of 2022, the Company’s Board initiated the re-financing process and appointed financial (Pareto Securities AB) and legal (Gernandt & Danielsson Advokatbyra KB) advisors to assist in the process. In March 2022, Acroud has divested its finance affiliation assets for USD 575 thousand. The divestment aligns with the Company’s strategy to be the preferred digital affiliation partner within the iGaming market. The total consideration of USD 575 thousand represents a multiple of approximately 5.2x annual EBITDA, based on the last twelve months. USD 425 thousand out of total consideration was paid on transaction day, and the remaining USD 150 thousand were paid once the transfer of the sold assets was completed in April 2022. Important events after the quarter In May 2022, the board of directors communicated to the market that Acroud is expected to reach between EUR 8 million and EUR 10 million in EBITDA during FY2022. The board of directors has also set new financial targets: (i) To grow EBITDA organically by, on average, 20% annually during financial years 2023- 2025, and (ii) to decrease the net interest-bearing debt/adjusted EBITDA to 2.5x or lower by December 2025. The time I’ve been waiting to write this CEO statement was certainly tinted with impatience, but I am delighted to finally be in a position to present a strong quarter performance, which proves that a successful business turnaround of Acroud is now in full effect. We have developed Acroud from a conventional player with comparison sites to a fast-moving challenger in the space of not only iGaming Affiliation but also B2B SaaS Solutions. Representing renewed stability and profitability, Q1 2022 has been a solid quarter of harvesting the fruits of the strategic steps and well-executed plans implemented in the previous year; although admittedly it took longer than all of us wanted. With a leaner and more agile team, the knowledge, assets, and cost base we have now in place, I’m excited to see that we have reached the desirable foundation to accelerate revenue growth and return to consistently positive performance. Validating the preliminary estimated quarterly revenues and earnings published in last month’s trading update, in Q1 2022, Acroud delivered the following results: • Revenue amounted to EUR 7.0m for Q1 2022, representing a 7 per cent growth quarter-on-quarter and 26 per cent growth year-on-year. • Return to positive organic growth, where revenue has increased organically by 15.5%. • EBITDA amounted to EUR 1.8m, which increases to EUR 2.2m when including profit on disposal. The latter corresponds to a growth of 175 per cent quarter-on-quarter and 56 per cent year-on-year. • Cash flow generated from operations during Q1 2022 (excluding proceeds from the divestment of the finance assets) amounted to approximately EUR 1.5m, impacted by negative working capital development in the quarter. • In March 2022, Acroud has divested its finance affiliation assets for USD 575 thousand. The divestment aligned with the Company’s strategy to focus on and be the preferred digital affiliation partner within the iGaming market. New Financial Targets With a leaner business and more diversified risks, the next natural step for Acroud was to set new financial targets. Acroud’s new priorities are sustainable growth in Company’s profitability and shareholders’ value generated by a robust capital structure. With such a frame in mind, we forecast to generate EUR 8million to EUR 10million in EBITDA in 2022 with the objective to continue growing EBITDA further organically by on average 20% a year during financial years 2023 - 2025. Operations will be conducted at low financial risk, with a Net Debt to EBITDA ratio below 2.5x. Equal Focus on Both Segments Since January 2021, with the acquisition of PMG, Acroud has moved away from being just an affiliate company by starting to offer B2B services (SaaS Solutions) to other affiliates within the iGaming industry. With this strategic move the Acroud offer has been constructed into two pillars: SaaS Segment and iGaming Affiliation Segment. SaaS revenues amounted to EUR 4.0m, representing a 5 per cent growth quarter-on-quarter and 46 per cent growth year-on- year. SaaS EBITDA amounted to EUR 0.5m, which corresponds to a growth of 106 per cent quarter-on-quarter and an EBITDA margin of 13%. Within our iGaming Affiliation Segment, our strategic investment in Search Engine Optimisation (SEO), cutting-edge technology, product quality and rich content executed during the second half of 2021 continues to bear fruit. The segment’s revenues amounted to EUR 3.0m for Q1 2022, representing a 10 per cent growth quarter-on-quarter and 5 per cent growth year-on- year. The efficiency program launched in November 2021 has resulted in a lower cost base, which has contributed to the EBITDA margin in iGaming Affiliation increasing from 37% in the fourth quarter of 2021 to 50% in the first quarter of 2022. iGaming Affiliation adjusted EBITDA amounted to EUR 1.5m, which corresponds to a growth of 47 per cent quarter-on- quarter. Our growth in coming quarters will continue to be driven simultaneously by both segments and while the iGaming Affiliation EBITDA margin will continue to exceed that of the SaaS segment due to the lower operational costs, the management focus will remain distributed equally between each business area. Through the implementation of new initiatives, as well as effective collaboration and synergies between the different business areas, we will be strengthening our unique position of a Software-Based affiliate and continue to build a diversified and robust revenue base for sustainable future growth. Refinancing Process Update Lastly, I am pleased to announce that the process of refinancing Acroud’s bond loan (maturing in September 2022) is progressing well. Assisted by reputable financial (Pareto Securities AB) and legal (Gernandt & Danielsson Advokatbyrå KB) advisors, the Board and Management are confident that this refinancing process will be as successful as the last bond issue executed in 2017. Important events during the quarter • Dutch market, being one of the larger European markets, has opened on 1 October 2021. ten operators were granted a license, with more licenses expected to be issued in Q1 2022. • On 1 November Roderick Attard was appointed as the new CFO of Acroud. Roderick previously held the position of Head of Finance at Acroud. He has profound industry knowledge from the iGaming industry and a background as an auditor at KPMG. • Following its continued investment in productivity, synergies and software tools, Acroud launched in mid-November a large efficiency program with around 20 people being affected in mid-November 2021. The program is aimed to create a cost saving of around EUR1.2M in 2022, while accelerating revenue growth in 2022 and beyond. This program had a one-off cost in Q4 2021 of approximately EUR 245k. CEO comments: An Eventful Quarter with Focus on Operational Efficiency After multiple acquisitions, we have taken a big step towards becoming a more software-driven affiliate and have successfully executed cost synergies with the launch of our efficiency program. This means that we are able to do more with fewer people. We expect to see the significant effects on EBITDA levels from this program in 2022 and onwards. While a leaner, more agile company keeps a higher pace and adapts quicker to the industry changes, we continue to keep a firm eye on our costs while accelerating our revenue growth in 2022 in line with our strategy. In Q4-2021, Acroud delivered an increase in revenue year-on-year by 162% to EUR 6 540 thousand driven by acquisitions. EBITDA, excluding one-off costs emanating from the restructuring program, amounted to € 1.1million. The restructuring program had a one-off cost of approximately EUR 245 thousand in Q4 2021 and will create a cost-saving of around EUR1.2 million in 2022. With a more agile organisation, Acroud is positioned to deliver significant growth in both revenue and profit in 2022 and beyond. It’s therefore with great optimism that we, as a strong team, have entered this year. In the near term, we will start our refinancing process. AN UPDATE ON THE DUTCH MARKET The newly regulated Dutch market has opened up slower than expected due to fewer operators being granted an online gaming license. However, Acroud has listened carefully to the needs of operators in the market, and our strategic decision to move towards richer content is paying off. After acquiring Swedish The Gambling Cabin, we have now expanded its original concept and rolled it out in the Netherlands. The community is steadily growing by the day, and we see significant potential in expanding to other markets in the future. Moreover, Acroud has teamed up with an extensive network which will further increase our presence in the Dutch market via the SaaS segment, contributing to Acroud’s 2022 revenue growth. With that in mind, Acroud is positioned to become one of the strongest players in the Netherlands. STRATEGY AND M&A During last year we have been active in M&A. During the last quarter we have really started to see the fruits of this strategy. We have branched out to stay relevant and developed streaming and podcasting media. We have also secured leading software to become a prominent supplier of software services within our industry. And as anticipated, we already see that our acquisitions are helping our ‘old’ core business to get back to growth. Delivering the best content on the market, backed by unrivalled software solutions, will be a winning combination as we advance towards 2022. SUCCESSFUL WITHIN AFFILIATION Our heavy investment in SEO strategies during the second half of 2021 has proven successful. Specific brands have grown NDCs by 71% and Revenue by 72% quarter-onquarter during Q4-21. We look forward to implementing the same SEO strategy on more key brands targeting strategic markets during 2022, at limited additional cost. SOFTWARE AS A SERVICE DEVELOPMENTS SaaS revenues continued to grow steadily, increasing by 3% quarter-on-quarter and 46% year-on-year. Acroud’s advanced data collection tool, Voonix, has delivered steady quarter-on-quarter growth of 15% in revenue. Likewise, Matching Visions has grown its revenue by 57% year-onyear during Q4-21. In addition to penetrating the Dutch market, Matching Visions has launched an eSports affiliate network. Both networks will develop and mature in 2022. THE NEW ACROUD Since January 2021, Acroud has been a very different company than our direct competitors. With the acquisition of PMG we have moved away from being just an affiliate company, and we have started offering B2B services referred to as SaaS solutions. This strategic move has created a new company with less exposure to SEO and other risks associated with the affiliate industry while creating a more robust revenue platform for future growth. This has also changed the Company’s EBITDA margins. During Q4-2021 the affiliate business operated at an EBITDA margin (excluding one-off costs) of 37% while the SaaS business operated at an EBITDA margin of 6%, resulting in a blended Group EBITDA margin (excluding one-off costs) of 16%. This also explains why during Q4-21 Group EBITDA has increased by 4% year-on-year despite the 162% increase in Group Revenues. Acroud publishes interim report Oct-Dec 2022: A time of Growth

Financial highlights during fourth quarter 2022 Revenue amounted to EUR 10 019 (6 540) thousand, corresponding to a growth of 53% and an organic growth of -3.3%. EBITDA amounted to EUR 2 342 (817) thousand, increasing by 187% year-on-year. Adjusted EBITDA (before items affecting comparability) was EUR2 492 (1 062) thousand increasing by 135% year-on year. Profit after tax was EUR -20 265 (-356) thousand. Adjusted profit after tax (before items affecting comparability and currency effects) was EUR 564 (-264) thousand. Items affecting comparability include an impairment charge of EUR 18 million and an earn-out revaluation amounting to EUR 2 932 thousand. Earnings per share after dilution amounted to EUR -0.15 (-0.003). Adjusted earnings per share (before items affecting comparability and currency effects) was EUR 0.004 (-0.002). Financial highlights for full year 2022 Revenue amounted to EUR 30 905 (24 767) thousand, corresponding to a growth of 25% and an organic growth of 6.9%. Financial highlights after the quarter Revenue in January 2023 amounted to EUR 3.2 million, representing a year-on-year increase of 35%. Important events during the quarter On 13 October 2022, Acroud (the “Company”) has successfully acquired 60% shareholding in an affiliation and Media company namely, Acroud Media Ltd, for a total consideration of approximately GBP 5.1 million. The acquisition encompasses affiliation assets and technology within the iGaming Market and it is expected to contribute over EUR 9 million to the Company’s revenues and over 4 million to the Company’s EBITDA annually. This acquisition will be reported in the iGaming affiliation segment. For further detailed information, see note 10 in this report. Important events after the quarter On 8th February 2023, Tricia Vella was appointed as Interim CFO for Acroud. Tricia has been working at Acroud since 2019 and has previously held the position of Head of Finance. She also has an audit background, having worked at PwC for seven years. The recruitment process for a permanent CFO is in progress. CEO comments: A time of Growth Quarter 4 2022 marked the beginning of a new foundation for our Company, geared up for solid EBITDA growth and lower debt. During the quarter our group has delivered: EUR 10.0 million in revenue, representing year-on-year growth of 53%, EUR 2.5 million in EBITDA (excluding one-off items), representing year-on-year growth of 135%, and 84,086 New Depositing Customers (NDCs) to our partners, representing year-on-year growth of 160%. Update on New Acquisition: Acroud Media This quarter has been the first quarter with our new Media Business, and I am happy to say it is firing on all cylinders. The growth in NDCs noted above has been mainly driven by the new Media business, which has found the right way to capitalise on the players’ interest in football, during the World Cup and domestic leagues alike. The new business comprises mainly of sport revenue driven by revshare deals, giving us a very stable and secure long-term revenue stream. The only disadvantage with revenue share is that you can be affected by unfavourable sports results in the short-term. This happened to us towards the end of December when all favourite teams in the English Premier League won. I would lie if I said it did not annoy me. However past results show that such hits occur only a few times during a calendar year and that revenue always comes back over time. With that said I am very happy and proud that we are now one of the affiliates in the market with the most sport book revenue in its revenue mix. Optimizing our existing businesses The Company’s new foundation is built on a new management team, comprising of experienced leaders well known in the iGaming, Affiliation and SaaS industries. The new management team will further strengthen the cooperation between our different subsidiaries and create a smaller and optimized organization, particularly in our SEO business. This change has led to a one-off restructuring cost of EUR 98 thousand during Q4-22 but will lead to annual cost savings of EUR 660 thousand. This is to continue to adapt our SEO business to the changing landscape in our industry while gearing for growth. Our Strong Drive for Better Changes Looking back over the past years, I am happy that we had the courage to act. Had we not driven change so aggressively during the past 3 years; acquiring complementary businesses and diversifying the Group’s income streams and business risks, we would be in a far less favorable position today. Many of our industry peers in the “let’s make casino toplist on SEO sites, and create thousands of them” are really struggling. This is the part of our business that has struggled over the last 5 years, caused by regulatory changes in Europe, but also affected by how Google views these types of assets. So as part of our prudent book-keeping we are writing down the value of those assets stemming from Net Gaming’s (former name of Acroud) acquisition of Highlight Media business back in 2016. This is reflected as a one-off non-cash impairment charge of EUR 18 million during the quarter. New management has the right experience, expertise, and action plan to bring the Highlight Media business back to strong organic growth. Successful acquisitions All businesses acquired since November 2020 are performing better than expected. Such transformative acquisitions have not only delivered strong revenue growth but have added to our Group valuable industry expertise and relationships which drove positive changes in the Company’s profitability, operative cashflow and business risks. This success also led to a one-off adjustment to our liabilities (amounting to EUR 2.9 million) during Q4-22 to reflect the estimated earnouts relating to Power Media Group acquisition (completed in January 2021) and The Gambling Cabin (executed in April 2021). Negotiations about the exact earnout amounts and payment dates have already started and will be concluded in the coming months. It is very positive that these companies are doing so well, and based on targets we have set internally, they will continue delivering strong growth during 2023 and in the foreseeable future. The founders and owners of these companies have committed to an active role in the Company’s future. They have a two-year lock-up period on the shares they will receive as a part of the earnout payments too, which ensures stability and continuity for the Group and its owners even after earnouts are concluded.   Future Outlook The Media business acquisition, the formation of a new management team and the restructuring in the SEO business in Q4, backed by refinancing secured earlier this year form the foundation of the new Acroud. During 2022 we have delivered EUR 7.9 million in EBITDA (or EUR 7.6 million if one-off items are excluded) – marginally below the EUR 8 million target we had set at the beginning of the year. Net debt / EBITDA ratio has been lowered to 2.5x as of December 2022, which meets the target we have set to reach by December 2025. This is just the beginning of a new era. Financial highlights after the quarter EBITDA in October 2022 amounted to EUR 1.1 million. Important events during the quarter In July 2022 Acroud issued senior secured bonds 2022/2025 in the total amount of SEK 225,000,000 (ISIN SE0017562481). In August 2022, in accordance with the terms and conditions, Acroud bonds were admitted for trading on the corporate bond list at Nasdaq Stockholm, and the first day of trading at Nasdaq Stockholm was on 23 August 2022. On 18 July 2022, Acroud has redeemed early its existing bonds of SEK 300 million. As at the date of redemption, Acroud owned SEK 112 million from its own bond. The redemption amount was paid to each person who was registered as an owner of Existing Bonds in the debt register maintained by Euroclear Sweden at the end of business day on 11 July 2022. Important events after the quarter Acroud completed the acquisition of 60% shareholding in Acroud Media Ltd for a total consideration of approximately GBP 5.1 million. The newly-acquired company owns assets and technology operating within the affiliation and media space and it is expected to contribute over EUR 9 million to the Company’s revenues and over EUR 4 million to the Company’s EBITDA annually. The purchase consideration is payable GBP 1 million in shares (issued on 18 October 2022) and GBP 4.1 million in cash (GBP 2.0 million already settled, with the rest payable over the next 18 months). Acroud has also secured a combination of call and put options for the remaining 40% of the business expiring in 2028. Both options are based on financial performance for 12 months ending 30 September 2028 with an EBITDA multiple of 5.5x. The acquisition of the remaining 40% will be settled in cash from existing reserves (40%) and via own shares (60%). CEO comments: Another piece in Acroud's transformation Quarter 3 2022 marks the start of a “new version” of our Company. With the completed acquisition our Company’s KPIs will look completely different. Summer has been upon us, during which we have experienced seasonal volatility with August revenues on the low side, only to bounce back up in September making the latter one of our best months in 2022. Despite historically being the weakest quarter, Q3 delivered EUR 6 683 thousand in revenues and EUR 1 496 thousand in EBITDA. These results represent a year-on-year growth of 4% in revenues and 19% in EBITDA. Although costs are not down quarter- on-quarter, this is because we have seen the opportunity and necessity to continue to invest in certain areas. This however means we are now using our funds in a more effective way than before. During the quarter we have had one-off items which has affected the Company’s profitability. In July the Company paid a one-off redemption fee of 3% to old bond holders, impacting the Company’s profit before tax by EUR 534 thousand. Similar cost under the bond is now being accrued for throughout the term of the bond, which impacted Q3-22 results by EUR 175 thousand. The Company also adjusted its tax accrual by EUR 261 thousand to reflect the redomiciliation of one of its subsidiaries. This items in aggregate explains the loss of EUR 589 thousand incurred during the quarter. Introducing Acroud Media Ltd During the third quarter we also worked diligently to close the acquisition of Acroud Media Ltd. Earlier this year, Acroud Media Ltd acquired assets which have been established by previous owners in the iGaming affiliation and paid media sphere since 2016. One of the acquired business’ strengths is its agility to move from one opportunity to another, depending on market, regulatory and other macro developments. Also, the acquired business is almost exclusive based on sportsbook revenues, with some of the world’s largest operators such as Bet 365 and Betway. Approximately 80% of total revenues comes from revenue-share deals, implying that there is an incredible potential in the recuring revenue and, as the player base keeps growing, this stable revenue stream keeps growing. Another strength of the acquired business is that revenue is not dependent on SEO and search algorithms’ results. Search engines like Google are updated from time to time, impacting sites’ performance driven by SEO: sometimes the effect is negligible, sometimes positive, sometimes negative. This is one of the biggest operational risks in SEO affiliation business. This acquisition complimented by the last year’s transformation, Acroud has transformed itself from 100% driven by SEO to a diversified business model including community-based and social media affiliation (The Gambling Cabin), paid media affiliation (Acroud Media) and SaaS Products. Entering a new era in Acroud’s transformation With this new entity in place, Acroud has executed another step in its transformation. Besides continuing to diversify its business risks and investing on future growth, Acroud has managed to close an accretive acquisition which will boost its profitability and cash position. Best proof is Acroud’s October 2022’s results, where total EBITDA has increased to EUR 1.1million. This has put us in the right track to generate between EUR 8-9 million in Group EBITDA for 2022, in line with our financial target and guidance. Amount of NDCs referred to our partners is expected to almost double going forward, which in turn is expected to spark further long-term and sustainable growth. Developments in Affiliation and SaaS businesses Acroud Media will form part of the Affiliation business. During Q3-22 the affiliation business generated EUR3.0million in revenues, representing a year-on-year increase of 12%. Such growth was the result of the investments in growth initiatives particularly in regulated and strategic markets, which has intensified during this quarter. This also explains the year-on-year decline of 8% in the affiliation EBITDA, reaching EUR1.1million during the quarter. A key event in Q4 will definitely be the World Cup championships, and we are getting ready for this worldwide event – in both Acroud Media and The Gambling Cabin teams. The Gambling Cabin team has some special treats in stores for its fans. Broadcasting from “The Gambling Villa” where the whole team will be gathered to provide comprehensive coverage of the event with sponsors and partners lined up. The SaaS business continues to deliver year-on-year growth in EBITDA figures, reaching EUR 539 (271) thousand in Q3-22. This growth is driven by both Network model (represented mainly by Matching Visions and DreamStream brands) and Subscription model (represented by Voonix). Our Voonix software is turning out to be true hidden gem and our aim going forward is naturally to both expose and realize the true value of this software. Refining our strategy When reflecting on the past few years, I could not be more satisfied with our successful acquisition strategy as well as the subsequent integration into Acroud Group. All acquired entities are performing in line with, or better than our initial expectations. We knew then, and it’s evident today, that our integration strategy was right. We rejected the classic method of “buy assets and roll up” and instead built a house of brands. We supported and enhanced each business rather than forcing alignment with pre-existing ideas and methods. This strategy has allowed our companies to maintain autonomy and growth while diversifying business risks, achieving synergies and sharing knowledge within the Group. More than anything, I am equally pleased as I am proud of the current “vibe” in the company. Everyone is positive and energized about the direction.
